This Trainer & Business Associate Agreement Policy ("Agreement") is made between Blendify ("Company", "We", "Us", "Our") and the individual or organization ("Trainer", "Business Associate", "You", "Your") participating in the Blendify ecosystem for the promotion, customization, and sale of Blendify products and services.
By registering as a Trainer or Business Associate on the Blendify platform, you agree to the following terms and conditions:

The purpose of this Agreement is to establish a mutually beneficial relationship between Blendify and its Trainers and Marketers. It defines the roles, rights, responsibilities, and payout terms related to promoting, customizing, and selling Blendify�s sports products.

• Trainer: An authorized individual or entity who customizes, promotes, or sells Blendify products to end customers through the Blendify platform.
• Business Associate: An authorized individual or entity who recruits or manages Trainers and supports sales generation through marketing and outreach activities.
• Customer: The end-user purchasing the customized or pre-designed products.
• Commission: The eligible payment made to Trainers or Marketers as per the Payout Terms & Conditions Policy.

• All Trainers and Marketers must register and be approved by Blendify prior to participating in sales or promotional activities.
• KYC verification (PAN, Aadhaar, Bank details, GST if applicable) is mandatory for payout eligibility.
• Blendify reserves the right to reject or terminate any registration at its sole discretion, without assigning any reason.

(a) Trainer Responsibilities

• Trainers may customize or select pre-customized products for customers using the Blendify platform.
• Trainers must ensure that all designs and content uploaded:
  Do not infringe upon any copyrights, trademarks, or intellectual property of others.
  Comply with Blendify's ethical and quality standards.
• Trainers shall not collect payments directly from customers; all transactions must occur via the Blendify platform.
• Trainers are responsible for assisting customers with accurate product selection, size, and customization details.

(b) Business Associate Responsibilities

• Marketers may appoint and manage Trainers, guide them in onboarding, and promote Blendify products through approved marketing channels.
• Marketers must maintain accurate communication records and comply with Blendify�s brand guidelines.
• Marketers shall not make false, misleading, or exaggerated claims about Blendify products or pricing.

• Commissions shall be calculated as per Blendify�s internal structure and are subject to change at Blendify�s discretion.
• The sales cycle runs from the 26th to the 25th of each month, and eligible commissions will be released by the 10th of the following month in accordance with the Payout Terms & Conditions Policy.
• Payouts are subject to:
  Completion of customer payment.
  No refund or return request within the allowed period.
  Compliance with Blendify's code of conduct and documentation requirements.

• All designs, tools, templates, and platform interfaces remain the exclusive property of Blendify.
• Trainers or Marketers may not reproduce, resell, or distribute Blendify materials without prior written consent.
• Blendify reserves the right to use Trainer-created or customized designs for promotional, marketing, or display purposes unless explicitly declined in writing by the Trainer.

• All information related to Blendify�s operations, commissions, customers, or pricing is strictly confidential.
• Trainers and Marketers shall not share, disclose, or misuse such data for personal or third-party benefit.
• Violation of confidentiality will lead to immediate termination and possible legal action.

1. Act with honesty, professionalism, and integrity.
2. Avoid deceptive, offensive, or misleading representations.
3. Refrain from making unauthorized commitments on behalf of Blendify.
4. Use Blendify�s name, logo, and assets only in approved formats. Any breach may result in suspension or termination of account privileges.

1. Either party may terminate this Agreement with 7 days written notice.
2. Blendify reserves the right to immediately terminate this Agreement without notice for:
   Breach of terms or misconduct
   Fraudulent activity or misrepresentation
   Intellectual property violations
   
3. Upon termination, pending payouts (if any) will be reviewed and disbursed only after verification and deduction of any liabilities.

1. Trainers and Marketers are independent contractors, not employees, agents, or representatives of Blendify.
2. Nothing in this Agreement shall be construed as creating an employer-employee relationship, partnership, or joint venture.

1. Trainers and Marketers are responsible for their own tax liabilities and must comply with applicable Indian tax laws.
2. Blendify will deduct TDS or applicable taxes as per law before releasing payouts.
3. Non-compliance may lead to withholding or cancellation of payments.

1. Blendify shall not be liable for indirect, incidental, or consequential losses arising from participation in this program.
2. Total liability, if any, shall not exceed the total commission payable for the disputed period.

1. Any dispute arising under this Agreement shall be resolved amicably.
2. If unresolved, disputes will be subject to arbitration under the Arbitration and Conciliation Act, 1996, with proceedings held in Mumbai, Maharashtra, and in English language.

This Agreement shall be governed by and construed in accordance with the laws of India, including applicable e-commerce and intellectual property regulations.

Blendify reserves the right to amend, modify, or replace any clause in this Agreement at any time without prior notice. Continued participation constitutes acceptance of the revised terms. All rights reserved by Influx healthtech Ltd.
